Basic Membership Agreement

TERMS OF USE AGREEMENT


 

This Terms of Use Agreement (the "Agreement") is entered into by and between you, as the user of the Site (the "User"), and ECROBOT Co., Ltd. ("ECROBOT"). This Agreement describes the terms and conditions applicable to your use of the ECROBOT website identified by the URL WWW.ECROBOT.COM (the "Site") and all services provided through or in connection with the Site, including the Shopping Agent Coumong service.

 

CHAPTER 1. GENERAL PROVISIONS


 

Article 1 (Purpose & Scope)


1.1. Commercial & Professional Scope: The Services provided through ECROBOT.com are engineered, intended, and restricted exclusively for commercial entities, registered businesses, professional cross-border traders, and individual professional sellers/freelance buyers acting in a commercial or professional resale capacity.

1.2. Inclusion of Individual Professional Buyers: While registration is open to both corporate entities and individual professional buyers (utilizing valid personal customs clearance identifiers or business credentials), all transactions executed through the Site are strictly for commercial, wholesale, and resale purposes, and not for personal, family, or household consumption.

1.3. Exclusion of B2C Consumers: ECROBOT does not provide services to retail consumers for personal use. By using the Services, you explicitly warrant, represent, and covenant that your purchases are intended strictly for commercial resale, distribution, or professional business operations, and that standard retail consumer protection laws (such as mandatory B2C return or cooling-off periods) do not apply to transactions on this platform.

1.4. Headings: Headings used herein are for reference purposes only and in no way define, limit, construe, or describe the scope or extent of such section.

1.5. No Waiver: ECROBOT's failure to enforce any right or failure to act with respect to any breach by a User under this Agreement will not constitute a waiver of that right, nor will it waive ECROBOT's right to act with respect to subsequent or similar breaches.

1.6. Assignment: ECROBOT shall have the right to assign its obligations, rights, and duties under this Agreement and any agreement relating to Premium Services or Sourcing/Logistics Services to any person or entity, provided that the User's rights are not fundamentally diminished.

1.7. Governing Law & Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of the Republic of Korea, without regard to its conflict of law principles. The parties hereto hereby agree that the Seoul Central District Court in the Republic of Korea shall have exclusive first-instance jurisdiction over any legal disputes, controversies, or claims arising out of or in connection with this Agreement. The User explicitly acknowledges that all transactions initiated on this Site are commercial Business-to-Business (B2B) transactions, and the User hereby waives any rights to claim consumer protection laws or jurisdiction under any forum outside the Republic of Korea. Should the User initiate any legal action or regulatory complaint in a foreign jurisdiction in violation of this clause, the User shall be strictly liable to fully indemnify ECROBOT for all resulting legal fees, expenses, and damages incurred.

 

Article 2 (Application and Acceptance of Terms)


2.1 For purposes of this Agreement, a "User" is any person who accesses the Site for whatever purpose, regardless of whether such User has registered with ECROBOT as a registered user or whether such User is a paying customer for a specific service provided by ECROBOT. A User includes the individual accessing this Site and any legal entity which may be represented by such person under actual or apparent authority.

2.2 By accessing or using the Site or any services provided under the Shopping Agent Coumong framework, you hereby agree to accept and be bound by the terms and conditions set forth in this Agreement as a User. The User explicitly represents and warrants that they are acting solely in the capacity of a merchant (and not as an individual consumer) for commercial B2B sourcing and trade purposes. If you do not accept all of the terms and conditions of this Agreement, please immediately cease using this Site and its services.

2.3 In the event of any conflict or inconsistency between Chapter 2 (General B2B Marketplace Rules) and Chapter 3 (Shopping Agent & Logistics Services) of this Agreement, the specific terms set forth in Chapter 3 shall prevail with respect to any transactions and services conducted through Shopping Agent Coumong.

2.4 ECROBOT reserves the right to amend this Agreement at any time by posting the amended and restated Agreement on the Site. The amended Agreement shall become effective seven (7) days after posting (or thirty (30) days for amendments that are disadvantageous to the User). Your continued use of the Site or Services after the effective date shall be deemed an absolute acceptance of the amended terms. This Agreement was last amended and restated on Aug 3, 2026.

 

CHAPTER 2. GENERAL B2B MARKETPLACE & USER OBLIGATIONS


 

Article 3 (Users Generally & Third-Party Content)


3.1 Users may use this Site solely for their own internal business or personal verification purposes. Each User agrees that it shall not copy, reproduce, harvest, or download any information, text, images, video clips, directories, files, databases, or listings available on or through the Site (the "ECROBOT Content") for the purpose of re-selling or re-distributing the ECROBOT Content, mass mailing, operating a business that directly competes with ECROBOT, or otherwise commercially exploiting the ECROBOT Content without express written permission from ECROBOT.

3.2 Some of the ECROBOT Content displayed on this Site is provided or posted by third parties ("Third Party Content"). ECROBOT does not act as a sales agent or broker for such third parties unless explicitly stated under Chapter 3. Third Party Content is the sole responsibility of the party who provided it. ECROBOT does not warrant or guarantee the accuracy, lawfulness, quality, or truthfulness of Third Party Content.

3.3 No User shall undertake any scheme, software routine, or activity to undermine the integrity of the computer systems or networks used by ECROBOT and/or any other User, and no User shall attempt to gain unauthorized access to such computer systems or networks.

 

Article 4. (Inspection, Packaging, and Limitation of Liability)


4.1. Macro-Level Inspection Limit: The scope of our physical warehouse inspection is strictly limited to verifying macro-level structural integrity and package quantity without unsealing the manufacturer's inner product retail packaging, regardless of whether the buyer is a corporate entity or an individual professional buyer.

4.2. Cosmetic Imperfections Excluded: Minor cosmetic imperfections, micro-scratches, or superficial dents/creases on the outer product retail box or retail unit cardboards occurring during normal domestic transit or handling are expressly excluded from the inspection mandate and are fully indemnified.

4.3. Exclusion of Technical Testing: ECROBOT does not perform technical, chemical, or deep functional testing unless a separate paid quality verification agreement is established in writing between the parties.

4.4. Consolidation and Logistics Risk: ECROBOT shall not be liable for delivery delays, customs detentions, or handling damages caused by third-party international carriers, postal services, or destination customs authorities.

 

Article 5 (B2B Information Exchange & Direct Supplier Transactions)


5.1 For standard non-agent B2B directory listings, ECROBOT provides an electronic web-based platform for exchanging information between buyers and suppliers. Except for transactions explicitly processed under the Shopping Agent Coumong service (Chapter 3), ECROBOT does not represent either the seller or the buyer in specific B2B direct transactions and does not charge transaction commissions.

5.2 Each User acknowledges that it fully assumes all Transaction Risks when engaging in direct B2B transactions with third-party suppliers found on the Site.

 

CHAPTER 3. SPECIAL PROVISIONS FOR SHOPPING AGENT & LOGISTICS SERVICES (Shopping Agent Coumong)


 

Article 6 (Scope of Shopping Agent Coumong Services)


6.1 Shopping Agent Coumong is an AI-powered personal sourcing desk and shopping assistant operated, guaranteed, and managed directly under the corporate name of ECROBOT Co., Ltd., backed by ECROBOT.com's advanced backend where global sellers directly browse and submit verified original URLs via browser auto-translation.

6.2 The scope of services offered under Shopping Agent Coumong includes, but is not limited to:

Product Sourcing & Procurement: Assisting global buyers in searching, sourcing, and purchasing premium Korean products directly from premier Korean e-commerce platforms and major department stores via direct URL submission using browser auto-translation across the comprehensive multi-platform ecosystem (including Coupang, Gmarket, Auction, 11st, Lotte ON, Homeplus, Naver Shopping Smart Stores, Lotte Department Store, Shinsegae Mall (SSG.com), Shinsegae TV Shopping, Lotte Home Shopping, CJ ONSTYLE, GS SHOP, NS Home Shopping, Home & Shopping, Olive Young, Daiso Mall, OHOUS (Bucketplace), Musinsa, ZigZag, ABLY, and Kurly).
0% Agent Commission Policy: Procuring items at 0% purchasing agent fee based on local domestic net pricing.
Consolidation & Warehousing: Collecting items from multiple Korean sellers/stores at the ECROBOT logistics hub for unified international shipment.
Group Sourcing Support: Facilitating joint sourcing orders to help buyers meet Minimum Order Quantities (MOQs) and reduce per-unit shipping costs.
FBA & Direct Global Logistics: Labeling, packaging, compliance checks, and direct fulfillment to Amazon FBA warehouses and major global fulfillment centers worldwide.
 

Article 7 (0% Commission Pricing & B2B Wire Transfers)


7.1 Pricing Policy: ECROBOT provides product purchasing services at 0% agent commission (Local Net Price). No hidden surcharges, undisclosed handling fees, or arbitrary price markups will be added to the domestic Korean purchase price. However, actual Third-Party Out-of-Pocket Expenses—including payment gateway/credit card processing fees, international wire transfer fees, and specialized custom packaging/handling material costs specified in Article 9.1 requested by the User—shall be itemized and charged on an at-cost basis in the official Proforma Invoice.

7.2 Proforma Invoice & Currency: Upon order placement and product confirmation, ECROBOT will issue an official Proforma Invoice under the corporate entity name ECROBOT Co., Ltd. All payments shall be made according to the total amount specified on the official invoice.

7.3 B2B Wire Transfer, Trade Execution & VAT Zero-Rating Settlement:

(a) All transactions under Shopping Agent Coumong shall be settled via standard Telegraphic Transfer (T/T) or approved secure corporate B2B payment methods. All official trade documentation, customs clearances, and export administration will be legally executed under the corporate name of ECROBOT Co., Ltd.

(b) Product supplies through the Site are based on direct-purchase (direct procurement and resale) transactions where domestic procurement and overseas export are executed under ECROBOT's corporate name. Accordingly, under the Value-Added Tax Act of the Republic of Korea, the right to apply for zero-rating (VAT rate of 0%) and to claim Value-Added Tax refunds (or tax credits) on exported goods shall belong exclusively and entirely to ECROBOT Co., Ltd. Any refunded tax amounts and related settlement profits shall be utilized as resources for maintaining the 0% commission policy, upgrading global logistics systems, and operating the platform.


(c) The User acknowledges and agrees that, as transactions are structured as direct purchases and resales by ECROBOT, the User shall not claim or demand any monetary return, compensation, or independent settlement regarding tax refunds or export-related fiscal benefits acquired by ECROBOT.


 

Article 8 (Sourcing Authenticity Verification, Intellectual Property & Inspection)


8.1 Sourcing Authenticity Framework: ECROBOT mitigates counterfeit risks by procurement exclusively through verified Korean online marketplaces, flagship brand stores, or authorized department stores based on the exact original product URLs discovered and submitted directly by global users through browser auto-translation. ECROBOT establishes rigorous screening protocols to verify that vendors are legally established entities within South Korea.

8.2 Inspection Scope: ECROBOT's logistics center conducts basic visual inspection (item count, visual defect check, and correct model verification) upon arrival at the hub. The scope of this visual inspection is strictly limited to verifying macro-level structural integrity and quantity without unsealing the manufacturer's inner product retail packaging. Minor cosmetic imperfections, micro-scratches, or superficial dents/creases on the outer product retail box or retail unit cardboards occurring during normal transit/handling are expressly excluded from the inspection mandate and shall not be compensated. ECROBOT does not perform technical, chemical, or deep functional testing unless a separate paid quality verification agreement is established.

8.3 Intellectual Property Liability Disclaimer: While ECROBOT takes systematic measures to ensure sourcing reliability, ECROBOT acts solely as a procurement agent and logistics coordinator. ECROBOT shall not be held liable for third-party intellectual property, trademark, or patent infringement claims arising from third-party manufacturers/sellers, unless caused by ECROBOT's willful misconduct or proven gross negligence.

 

Article 9 (Logistics, Smart Consolidation, FBA & Customs Compliance)


9.1 Smart Consolidation & Repacking: ECROBOT will aggregate products purchased across different domestic merchants at the designated logistics hub and consolidate them into a unified shipment to minimize international freight expenses. While the consolidation service fee itself is waived or discounted under Company policy, the exact at-cost expenses for export-grade packaging materials (boxes) required for secure transit, as referenced in Article 7.1, will be itemized and billed to the User.

9.2 Post-Office EMS Infrastructure: Unless requested otherwise by the User, international outbound logistics are primarily dispatched utilizing the Korea Post Office EMS network or approved commercial express channels to ensure efficient tracking and optimized shipping overhead.

9.3 Direct-to-FBA & Compliance: For shipments routed directly to Amazon FBA or global third-party logistics (3PL) fulfillment centers, ECROBOT will execute labeling, outer carton compliance, and export documentation according to Amazon/3PL guidelines. ECROBOT shall not be liable for FBA rejection penalties, delays, or re-labeling fees resulting from incorrect FNSKU labels or barcode data provided by the User. ECROBOT's liability for direct errors in physical labeling execution shall be strictly limited to re-performing the labeling service or compensating direct out-of-pocket costs incurred.

9.4 Export Declaration Compliance & User Indemnification: All outbound international cargo processed through the logistics hub will be legally reported to the Korea Customs Service. For individual shipments with a total item value of 5 million KRW or less, a simplified export declaration (Simplified Export Declaration) will be executed under the corporate name of ECROBOT Co., Ltd. by submitting the appropriate 10-digit HS CODE. Shipments exceeding 5 million KRW will be processed via general export declarations. The User is strictly required to provide accurate, truthful, and complete product description data necessary for proper HS CODE classification. If any fines, administrative penalties, customs holds, seizures, or legal investigations are imposed on ECROBOT Co., Ltd. under the Customs Act of Korea due to the User’s provision of inaccurate, false, or incomplete product descriptions or data, the User shall fully indemnify, defend, and hold ECROBOT Co., Ltd. harmless from and against any and all resulting legal, financial, and economic liabilities, losses, or damages.


9.5 Customs Duties & Import Compliance: Unless explicitly included in the Proforma Invoice, all international import duties, tariffs, VAT, customs clearance fees, destination taxes, and destination country regulatory compliance liabilities remain the sole responsibility of the User. ECROBOT shall not be held responsible for goods seized, delayed, fined, or destroyed by foreign customs due to destination country import restrictions, restricted chemical ingredients (e.g., in K-Beauty/Food), or lack of local regulatory approvals.

 

Article 10 (Order Cancellation, Final Sale & Defect Handling)


10.1 Pre-Procurement Cancellation: Users may cancel an order free of charge before ECROBOT completes payment to the domestic Korean seller.

10.2 Post-Procurement Non-Refundability & Final Sale Policy (Strict No-Return Policy): All sales processed through Shopping Agent Coumong are final. Once ECROBOT has completed the purchase of products from domestic Korean suppliers/merchants based on the user-submitted URL, cancellations, returns, exchanges, or refunds based on User's change of mind, market price fluctuations, or unsalability on international platforms are strictly prohibited and non-refundable. The User explicitly acknowledges and agrees that international commercial procurement involves cross-border logistics and customs administration, making simple change-of-mind returns legally and operationally infeasible.

10.3 Defects, Shipping Damages & Chargeback Prohibition: In the event of damaged, defective, or materially incorrect items caused by ECROBOT's handling or seller error, ECROBOT will assist in filing claims with logistics carriers or processing replacements/refunds promptly upon notification and submission of photo/video proof within seven (7) business days of delivery. Under no circumstances shall the User initiate an absolute or unilateral chargeback or dispute via their credit card issuer, payment gateway, or payment processors without ECROBOT's prior express written consent. In the event of a verified product discrepancy, remedy shall be strictly limited to the re-dispatch of the correct items or the issuance of Coumong platform credits at ECROBOT's sole discretion. The User shall bear all inbound return freight expenses unless a mutual alternative written agreement is reached.

 

CHAPTER 4. LIMITATION OF LIABILITY & MISCELLANEOUS


 

Article 11 (Limitation of Liability)


11.1 THE FEATURES AND SERVICES ON THE ECROBOT SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. EXCEPT AS EXPLICITLY PROVIDED IN CHAPTER 3, ECROBOT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO QUALITY, ACCURACY, OR FITNESS FOR A PARTICULAR PURPOSE. 11.2 UNDER NO CIRCUMSTANCES SHALL ECROBOT BE HELD LIABLE FOR ANY DELAY, FAILURE, OR DISRUPTION RESULTING DIRECTLY OR INDIRECTLY FROM ACTS OF NATURE, INTERNET FAILURES, TELECOMMUNICATION FAILURES, POWER OUTAGES, STRIKES, FIRES, FLOODS, WAR, GOVERNMENTAL ACTIONS, OR CUSTOMS CLEARANCE DELAYS BEYOND ITS REASONABLE CONTROL. 11.3 EXCEPT IN CASES OF WILLFUL MISCONDUCT OR GROSS NEGLIGENCE ON THE PART OF ECROBOT, ECROBOT SHALL NOT BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF PROFITS OR BUSINESS INTERRUPTION).

 

Article 12 (Intellectual Property Rights)


12.1 ECROBOT is the sole owner or lawful licensee of all rights to the Site and the ECROBOT Content. All title, ownership, and intellectual property rights shall remain exclusively with ECROBOT Co., Ltd. or its licensors.

12.2 "ECROBOT", "ECROBOT.COM", "Shopping Agent Coumong", and related logos are registered trademarks or service marks of ECROBOT Co., Ltd. Unauthorized copying, modification, or commercial exploitation is strictly prohibited.

13.2 All notices to a User shall be effective if delivered personally, sent by courier, certified mail, or email to the last known address provided by the User, or by posting on a publicly accessible area of the Site. Material changes affecting the User's legal rights will be notified individually via the Registered User's registered email address at least seven (7) days prior to implementation.

PRIVACY POLICY

 

By using this Site, you consent to our Privacy Policy set out below. This is the Privacy Policy governing your use of the ECROBOT Site (ecrobot.com). All terms not defined in this document have the meanings ascribed to them in the Terms of Use Agreement between you and ECROBOT Co., Ltd.

 

1. The Information We Collect

The Company collects and processes the following types of information (collectively referred to as “Collected Information”):

Registration Information: At the time you register to become a Registered User of the Site (whether as a corporate entity or an individual professional buyer), you will be asked to provide information such as your name, address, phone/fax number, email address, business details, and—where required for B2B trade, export declarations, tax settlement, and customs clearance—business registration numbers, personal customs clearance identifiers, or official credentials.
Publishing Information: If you submit any information to ECROBOT to be published on the Site through the publishing tools (including Company Directory, Product Catalog, Trade Leads), you are deemed to have consented to the publication of such information.
Payment & Settlement Information: If you settle a transaction or purchase a service from ECROBOT via T/T (Telegraphic Transfer) or approved corporate B2B payment methods, we may collect billing information, sender's name, remitting bank details, account number, invoice details, and tracking information.
Statistical Information: We gather aggregate statistical information about our Site and Users, such as IP addresses, browser software, operating system, pages viewed, number of sessions, and unique visitors via cookies and tracking tools.
 

2. How We May Use Information

We may use Collected Information for the following purposes:

General & Optimization: To improve our marketing efforts, statistically analyze site usage, improve our content/product offerings, and customize our Site's layout and services for you.
Account Support & B2B Matching: To service your Account, investigate problems, resolve disputes, enforce agreements with us, and include your business data in our Gold Buyer Database for global business matching and trade facilitation purposes.
Communications: To contact you regarding notices, surveys, product alerts, and new service offerings relevant to your use of our Site.
Statistical Reports: To generate reports based on Statistical Information for internal analysis, monitoring, and marketing decisions, which may be provided to third parties in a non-personally identifiable aggregate form.
 

3. Disclosure, Third-Party Sharing and Public Availability of Information

Public Information: All of your Publishing Information will be publicly available on the Site and accessible by any internet user. You relinquish any proprietary rights (including confidentiality) in such published information.
Third-Party Service & Logistics Sharing: To execute cross-border trade, customs clearances, and global fulfillment under our Shopping Agent Coumong services (including direct URL sourcing and multi-platform procurement), we may share necessary user and shipping information with trusted third-party partners, including the Korea Customs Service, postal authorities (e.g., Korea Post EMS), commercial courier services, and global fulfillment centers (e.g., Amazon FBA).
Legal & Regulatory Disclosures: We reserve the right to disclose Collected Information to relevant authorities or judicial courts when required by law, subpoena, administrative order, or when we reasonably believe it is necessary to identify or bring legal action against someone infringing upon the rights and property of ECROBOT or our Users.
 

4. Retention and Destruction of Personal Data

Retention Period: We retain your Collected Information as long as your Account remains active or as needed to provide you with services.
Destruction Policy: Upon account termination or consent withdrawal, your personal data will be promptly and permanently deleted from our servers, except where we are required to retain certain records under applicable statutory retention periods (e.g., electronic commerce laws, corporate accounting, tax and customs laws of the Republic of Korea).
 

5. Delegation of Personal Data Processing

For seamless platform operations and server management, the Company delegates personal data processing as follows:

Delegated Task: System operation, maintenance, and server hosting management
Retention Period: Until the termination of the delegation contract
 

6. Cookies

We use “cookies” to store specific information about you and track your visits to our Site to enhance user identification. If you reject all cookies, you may be required to re-enter your information more often, and certain features of our Site may be unavailable.

 

7. Data Subject Rights (Access, Correction, and Deletion)

You can access, view, and edit your Registration Information, Publishing Information, and Payment Information at any time through your Account with ECROBOT. If you wish to withdraw your consent, terminate your account, or request the complete destruction of your data, you may contact our Privacy Officer in writing or via email.

 

8. Security Measures

We employ commercially reasonable security methods and password protection to prevent unauthorized access, maintain data accuracy, and ensure the correct use of information. However, no data transmission over the Internet or any wireless network can be guaranteed to be perfectly secure. You transmit all information to us at your own risk.

10. Changes to Privacy Policy

Any changes to this Privacy Policy will be communicated through our posting an amended and restated Privacy Policy on our Site, becoming immediately effective upon posting (subject to advance notice requirements for material changes as stipulated in the Terms of Use Agreement). This Privacy Policy was last amended and restated on Aug 3, 2026.

B2B Commercial Trade Agreement and Business Purpose Declaration:

I hereby explicitly acknowledge, warrant, and agree to the following terms regarding my commercial status and platform usage:
•	Commercial Entity Status: I am registering and participating on this platform strictly as a commercial entity, professional reseller, or individual professional buyer operating for business-to-business (B2B) trade purposes.
•	Commercial-Only Procurement: All products sourced, purchased, and imported through ECROBOT.com and Shopping Agent Coumong are intended exclusively for commercial resale, wholesale distribution, or professional business operations, and are NOT for personal, family, or household consumption.
•	Validity of Customs Identifiers: Even in cases where I utilize personal customs clearance identifiers (PCCID) or individual credentials for administrative convenience or export/import declarations, all underlying transactions remain strictly commercial business operations.
•	Exclusion of Consumer Protection Laws: I expressly acknowledge and agree that standard Business-to-Consumer (B2C) consumer protection laws, mandatory cooling-off periods, statutory warranties, and change-of-mind consumer returns do not apply to any transactions executed on this platform.
